1. Agreement to Terms

By accessing or using the website of Khoj Studios ("Company," "we," "us," or "our") located at khojstudios.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Site.

2. Services

Khoj Studios provides AI-augmented software development services, including but not limited to custom software development, mobile app development, AI integration and automation, and product strategy and planning. The specific scope, deliverables, timeline, and pricing of our services will be defined in a separate Statement of Work (SOW) or service agreement for each engagement.

3. Intellectual Property

Our Property

The Site and its original content (excluding content provided by users), features, and functionality are owned by Khoj Studios and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Client Work Product

Unless otherwise specified in a separate service agreement, all intellectual property rights in work product created for a client shall transfer to the client upon full payment. Khoj Studios retains the right to use general knowledge, skills, and experience gained during client engagements.

4. User Responsibilities

When using our Site, you agree to:

• Provide accurate and complete information when filling out forms
• Not use the Site for any unlawful purpose or in violation of any regulations
• Not attempt to gain unauthorized access to our systems or networks
• Not introduce viruses, malware, or other harmful material
• Not scrape, data mine, or use automated means to access the Site without consent

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information exchanged during the course of our engagement. This includes but is not limited to business plans, technical specifications, code, designs, pricing, and customer data. Confidentiality obligations survive the termination of any agreement.

6. Payment Terms

Payment terms, including fees, payment schedules, and billing cycles, will be outlined in the applicable Statement of Work or service agreement. Unless otherwise agreed:

• Invoices are due within 30 days of issuance
• Late payments may incur interest at the rate of 1.5% per month
• We reserve the right to suspend work if payments are overdue by more than 15 days

7. Limitation of Liability

To the maximum extent permitted by law, Khoj Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our Site or services.

Our total liability for any claim arising from our services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

8. Warranties and Disclaimers

The Site is provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding the Site's operation, availability, or the information, content, or materials included therein.

For services provided under a separate agreement, any warranties will be defined in that agreement.

9. Termination

We may terminate or suspend your access to the Site immediately, without prior notice, for any reason, including if you breach these Terms. For service agreements, termination terms will be defined in the applicable SOW or service agreement.

10. Indemnification

You agree to indemnify and hold harmless Khoj Studios, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Site or violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Khoj Studios operates, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date. Your continued use of the Site after any changes constitutes acceptance of the new Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
